When you place an order, you are making an offer to purchase. YUAN TEA 源茶 reserves the right to accept or reject your order, for any reason, at its sole discretion. Your order is not considered accepted until you receive written confirmation from YUAN TEA 源茶.

We must receive and process your payment before your order is accepted. Please carefully review your order before submitting it, as YUAN TEA 源茶 may not be able to accommodate cancellation requests once an order has been confirmed.

If we reject, modify or cancel your order, we will attempt to contact you using the email address, billing address and/or telephone number provided when the order was placed.

Your purchases are subject to the return or exchange terms set out in our Refund Policy.

You represent and warrant that your purchases are intended for personal or household use and not for commercial resale or export.

ARTICLE 4 – PRICES AND BILLING

Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be stated in your order confirmation email. We cannot be held responsible for shipping or delivery delays. All delivery times provided are estimates and are not guaranteed.

We are not responsible for delays caused by carriers, customs procedures or any event beyond our control.

Once the products have been handed over to the carrier, ownership of the products and the risk of loss shall pass to you.

YUAN TEA 源茶 is powered by Shopify, which enables us to provide the Services to you. However, any sale or purchase made through our Store is conducted directly with YUAN TEA 源茶.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and YUAN TEA 源茶, including any damage, harm or loss resulting from products or services purchased.

You expressly release Shopify and its affiliates from any claims, damages and liabilities arising from or relating to your purchase and transaction with YUAN TEA 源茶.

(iv) not circumvent or evade any measure intended to block, limit, modify or control Agents’ access to, use of or interactions with the Services.

We reserve the right to terminate this agreement or your access to the Services, or any part thereof, at our sole discretion, at any time and without notice.

You will remain liable for all amounts due up to and including the date of termination.

The following Articles shall survive any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provision that by its nature is intended to survive termination.

You agree to indemnify, defend, and hold harmless YUAN TEA 源茶, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers, from and against any loss, damage, liability, or claim, including reasonable attorneys' fees, made by any third party arising out of (1) your breach of these Terms of Use or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access and use of the Services.  
We will notify you of any claim covered by this indemnity, provided that failure to give prompt notice shall not relieve you of your obligations unless you are materially prejudiced thereby. We may assume the defense and settlement of any claim at your expense, including the choice of legal counsel, but we will not settle any claim that involves non-monetary obligations on your part without your consent (which shall not be unreasonably withheld). You shall cooperate in the defense of claims covered by this indemnity, including by providing relevant documents.

Le nom, le logo, les noms de produits et de services, les designs et les slogans de Shopify sont des marques déposées de Shopify. Tous les autres noms, logos, noms de produits et de services, designs et slogans présents sur les Services sont les marques déposées de leurs propriétaires respectifs.

YUAN TEA 源茶 est propulsé par Shopify, ce qui nous permet de vous proposer les Services. Cependant, toute vente ou tout achat effectué dans notre Boutique est réalisé directement avec YUAN TEA 源茶. Nous pouvons, sans y être tenus, surveiller, modifier ou supprimer tout Retour d’expérience que nous jugeons, à notre seule discrétion, illégal, offensant, menaçant, diffamatoire, calomnieux, pornographique, obscène ou autrement répréhensible, ou qui enfreint les droits de propriété intellectuelle d’une partie ou les présentes Conditions de service.
Vous vous engagez à ce que vos Retours d’expérience ne portent atteinte à aucun droit de tiers, y compris les droits d’auteur, marques, protection des données, droits de la personnalité ou autres droits personnels ou patrimoniaux. Vous vous engagez, en outre, à ce que vos Retours d’expérience ne contiennent aucun propos diffamatoire, illégal, abusif ou obscène, ni aucun virus informatique ou logiciel malveillant susceptible d’affecter le fonctionnement des Services ou de tout site web connexe. Il vous est interdit d’utiliser une adresse électronique falsifiée, de vous substituer à autrui ou de nous induire en erreur, ainsi que des tiers, sur l’origine des Retours d’expérience. Vous êtes seul responsable de vos Retours d’expérience et de leur exactitude. Nous déclinons toute responsabilité et ne saurions être tenus pour responsables des Retours d’expérience publiés par vous ou par un tiers.

ARTICLE 12 - ERREURS, INEXACTITUDES ET OMISSIONS
Les Services peuvent occasionnellement contenir des informations présentant des erreurs typographiques, des inexactitudes ou des omissions, notamment concernant les descriptions de produits, les prix, les promotions, les offres, les frais de livraison, les délais de transit ou la disponibilité des produits. Il vous est strictement interdit d’accéder aux Services ou de les utiliser, directement ou indirectement : (a) à des fins illicites ou malveillantes ; (b) en violation de toute réglementation, règle, loi internationale, fédérale, provinciale, d’État ou locale ; (c) de manière à porter atteinte aux droits de propriété intellectuelle de YUAN TEA 源茶, de Shopify ou de tiers ; (d) pour harceler, abuser, insulter, nuire, diffamer, calomnier, dénigrer, intimider ou porter préjudice à l’un de nos employés ou à toute autre personne ; (e) pour transmettre des informations fausses ou trompeuses ; (f) pour envoyer, recevoir sciemment, télécharger, utiliser ou réutiliser tout contenu non conforme aux présentes Conditions ; (g) pour transmettre ou provoquer l’envoi de tout matériel publicitaire ou promotionnel, y compris des « pourriels », « chaînes de lettres », « courriers indésirables » ou toute autre sollicitation similaire ; (h) pour usurper l’identité d’une personne ou d’une entité, ou tenter de le faire ; (i) pour adopter tout comportement susceptible de restreindre ou d’entraver l’utilisation ou la jouissance des Services par autrui, ou qui, selon notre appréciation, pourrait nuire à YUAN TEA 源茶, à Shopify, aux utilisateurs des Services ou les exposer à une responsabilité quelconque.
De plus, vous vous engagez à ne pas : (a) télécharger ou transmettre des virus ou tout autre code malveillant susceptible d’affecter le fonctionnement ou l’exploitation des Services ; (b) reproduire, dupliquer, copier, extraire, vendre, revendre ou exploiter toute partie des Services ; (c) collecter ou suivre les informations personnelles d’autrui ; (d) recourir à des pratiques de spam, d’hameçonnage (phishing), de pharming ou de prétexte (pretexting) via les Services ; (e) utiliser des robots, araignées (spiders), outils de scraping, de collecte ou d’extraction de données, dispositifs automatisés, outils d’IA (y compris l’IA agentique) ou tout moyen automatisé ou manuel pour accéder aux Services ; (f) interférer avec, contourner ou neutraliser les fonctionnalités de sécurité ou d’autorisation, les en-têtes d’exclusion des robots ou toute autre mesure que nous mettons en place pour restreindre l’accès aux Services. Nous nous réservons le droit de suspendre, désactiver ou résilier votre compte à tout moment et sans préavis si nous déterminons que vous avez violé l’une des dispositions des présentes Conditions.

ARTICLE 14 - AGENTS
14.1 La présente section (« Conditions relatives aux agents ») s’applique si vous utilisez, autorisez, activez ou provoquez le déploiement d’un Agent pour accéder, utiliser ou interagir avec les Services. Un « Agent » désigne tout logiciel ou service agissant de manière autonome ou semi-autonome pour le compte d’une personne ou d’une entité, ou sur instruction de celle-ci, et pouvant être exécuté sur un appareil appartenant à une personne ou utilisé par celle-ci, sans supervision directe.
14.2 Aucun Agent ne peut accéder, utiliser ou interagir avec les Services, sauf s’il s’identifie en permanence et fonctionne en stricte conformité avec les conditions énoncées à la section 14.4 ci-dessous. De plus, aucun Agent ne peut accéder, utiliser ou interagir avec les Services si nous avons demandé à cet Agent de s’abstenir d’accéder, d’utiliser ou d’interagir avec un service quelconque.
14.3 Nous pouvons limiter, y compris par des mesures techniques, la possibilité et la manière dont un Agent accède, utilise et interagit avec les Services.
14.4 Les Agents doivent : (i) dans toutes les requêtes HTTP/HTTPS, indiquer que la requête provient d’un Agent et divulguer le nom de l’Agent en incluant la mention suivante dans la chaîne de l’agent utilisateur : « Agent/[nom de l’agent] » ; (ii) ne pas dissimuler ou masquer le fait que l’accès, l’utilisation ou les interactions proviennent d’un Agent, notamment en (a) imitant un comportement ou des schémas d’interaction humains, ou (b) contournant ou complétant des CAPTCHA ou des mesures destinées à distinguer l’utilisation par un ordinateur de celle par un humain ; (iii) répondre honnêtement à toute question ou invite visant à déterminer si les interactions proviennent d’un humain ou d’un ordinateur ; (iv) ne pas contourner ou éviter toute mesure destinée à bloquer, limiter, modifier ou contrôler l’accès, l’utilisation ou les interactions des Agents avec les Services.

ARTICLE 15 - RÉSILIATION
Nous nous réservons le droit de résilier le présent accord ou votre accès aux Services (ou à toute partie de ceux-ci), à notre entière discrétion, à tout moment et sans préavis. Vous resterez redevable de l’intégralité des montants dus jusqu’à la date de résiliation incluse.
Les articles suivants resteront applicables après toute résiliation : Propriété intellectuelle, Retours d’expérience, Résiliation, Exclusion de garanties, Limitation de responsabilité, Indemnisation, Divisibilité, Renonciation, Intégralité de l’accord, Cession, Loi applicable, Politique de confidentialité, ainsi que toute autre disposition dont la nature implique qu’elle doive survivre à la résiliation.

ARTICLE 16 - EXCLUSION DE GARANTIES
Les informations présentées sur ou via les Services sont mises à disposition à titre purement informatif. Nous ne garantissons pas l’exactitude, l’exhaustivité ou l’utilité de ces informations. Toute confiance que vous accordez à ces informations se fait strictement à vos propres risques. Nous déclinons toute responsabilité et garantie concernant les conséquences découlant de l’utilisation de ces informations par vous-même, tout autre visiteur des Services ou toute personne informée de leur contenu.
SAUF MENTION EXPRESSE DE LA PART DE [MARCHAND], LES SERVICES ET TOUS LES PRODUITS PROPOSÉS PAR LEUR INTERMÉDIAIRE SONT FOURNIS « EN L’ÉTAT » ET « SELON DISPONIBILITÉ » POUR VOTRE UTILISATION, SANS AUCUNE GARANTIE, DÉCLARATION OU CONDITION D’AUCUNE SORTE, EXPRESSE OU IMPLICITE, Y COMPRIS TOUTES LES GARANTIES OU CONDITIONS IMPLICITES DE QUALITÉ MARCHANDE, D’APTITUDE À UN USAGE PARTICULIER, DE DURABILITÉ, DE TITRE DE PROPRIÉTÉ ET DE NON-CONTOURNEMENT DE DROITS. NOUS NE GARANTISSONS PAS QUE VOTRE UTILISATION DES SERVICES SERA ININTERROMPUE, PONCTUELLE, SÉCURISÉE OU EXEMPTE D’ERREURS. CERTAINES JURIDICTIONS LIMITENT OU N’AUTORISENT PAS L’EXCLUSION DES GARANTIES IMPLICITES OU AUTRES, DE SORTE QUE LA PRÉSENTE EXCLUSION PEUT NE PAS VOUS CONCERNER.

ARTICLE 17 - LIMITATION DE RESPONSABILITÉ
DANS LA MESURE MAXIMALE AUTORISÉE PAR LA LOI, EN AUCUN CAS YUAN TEA, NOS PARTENAIRES, DIRIGEANTS, ADMINISTRATEURS, EMPLOYÉS, AFFILIÉS, AGENTS, PRESTATAIRES, FOURNISSEURS DE SERVICES OU LICENCIÉS, NI CEUX DE SHOPIFY ET SES AFFILIÉS, NE POURRONT ÊTRE TENUS RESPONSABLES DE TOUT DOMAINE, PERTE, RÉCLAMATION, OU DE TOUT PRÉJUDICE DIRECT, INDIRECT, ACCESSOIRE, EXEMPLAIRE, SPÉCIAL OU CONSÉCUTIF DE QUELQUE NATURE QUE CE SOIT, Y COMPRIS, SANS LIMITATION, LA PERTE DE BÉNÉFICES, DE REVENUS, D’ÉCONOMIES, DE DONNÉES, LES FRAIS DE REMPLACEMENT OU TOUT AUTRE PRÉJUDICE SIMILAIRE, QU’IL SOIT FONDÉ SUR UN CONTRAT, UNE FAUTE (Y COMPRIS LA NÉGLIGENCE), UNE RESPONSABILITÉ STRICTE OU AUTRE, DÉCOULANT DE VOTRE UTILISATION DES SERVICES OU DE TOUT PRODUIT OBTENU VIA LES SERVICES, OU POUR TOUTE AUTRE RÉCLAMATION LIÉE, DE QUELQUE MANIÈRE QUE CE SOIT, À VOTRE UTILISATION DES SERVICES OU DE TOUT PRODUIT, Y COMPRIS, SANS LIMITATION, TOUTE ERREUR OU OMISSION DANS TOUT CONTENU, OU TOUTE PERTE OU TOUT DOMMAGE DE QUELQUE NATURE QUE CE SOIT SUBI À LA SUITE DE L’UTILISATION DES SERVICES OU DE TOUT CONTENU (OU PRODUIT) PUBLIÉ, TRANSMIS OU AUTREMENT MIS À DISPOSITION VIA LES SERVICES, MÊME SI NOUS AVONS ÉTÉ AVERTIS DE LEUR POSSIBILITÉ. 

ARTICLE 18 - INDEMNISATION
Vous vous engagez à indemniser, défendre et dégager de toute responsabilité YUAN TEA 源茶, Shopify, ainsi que nos affiliés, partenaires, dirigeants, administrateurs, employés, agents, prestataires, concédants et fournisseurs de services, pour toute perte, tout dommage, toute responsabilité ou réclamation, y compris les honoraires raisonnables d’avocats, dus à un tiers et résultant (1) de votre manquement aux présentes Conditions d’utilisation ou aux documents qu’elles intègrent par référence, (2) de votre violation d’une loi ou des droits d’un tiers, ou (3) de votre accès et utilisation des Services.
Nous vous informerons de toute réclamation couverte par cette garantie, sous réserve qu’un défaut de notification rapide ne vous exonère pas de vos obligations, sauf si vous en subissez un préjudice substantiel. Nous pouvons assurer la défense et le règlement de toute réclamation à vos frais, y compris le choix des conseils juridiques, mais nous ne transigerons pas sur une réclamation impliquant des obligations non pécuniaires de votre part sans votre accord (que vous ne pourrez refuser de manière déraisonnable). Vous coopérerez à la défense des réclamations couvertes par cette garantie, notamment en fournissant les documents pertinents.

ARTICLE 19 - DIVISIBILITÉ
Dans l’éventualité où une disposition des présentes Conditions d’utilisation serait jugée illégale, nulle ou inapplicable, cette disposition restera applicable dans la mesure maximale autorisée par la loi en vigueur, et la partie inapplicable sera réputée dissociée des présentes Conditions d’utilisation. Une telle détermination n’affectera ni la validité ni l’applicabilité des autres dispositions restantes.

ARTICLE 20 - RENONCIATION ; ACCORD INTÉGRAL
Le fait de ne pas exercer ou exiger l’exercice d’un droit ou d’une disposition des présentes Conditions de service ne saurait constituer une renonciation à ce droit ou à cette disposition.
Les présentes Conditions d’utilisation, ainsi que les politiques ou règles d’utilisation publiées par nos soins sur ce site ou relatives au Service, constituent l’intégralité de l’accord et de l’entente entre vous et nous, et régissent votre utilisation du Service. Elles se substituent à tout accord, communication ou proposition antérieur ou contemporain, qu’il soit oral ou écrit, entre vous et nous (y compris, sans limitation, les versions antérieures des Conditions d’utilisation).
Toute ambiguïté dans l’interprétation des présentes Conditions d’utilisation ne sera pas interprétée à l’encontre de la partie rédactrice.

Nous pouvons transférer, céder ou déléguer les présentes Conditions ainsi que nos droits et obligations sans votre consentement ni notification préalable.

ARTICLE 22 - LOI APPLICABLE
Les présentes Conditions d’utilisation, ainsi que tout accord distinct par lequel nous vous fournissons les Services, seront régis et interprétés conformément aux lois fédérales et aux lois des États ou territoires des tribunaux compétents dans la juridiction où YUAN TEA 源茶 a son siège social. Vous et YUAN TEA 源茶 consentez expressément à la compétence territoriale et personnelle de ces tribunaux.
